These Terms of Service (the “Terms”) govern your access to and use of the Joaia mobile application, the Joaia Web Solution, the Joaia Guide Studio, and all related software, features, tools, APIs, websites, and services provided by Holoai Ltd. (together, the “Services”).
By clicking “Accept”, creating an account, accessing, or using any part of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
These Terms apply to:
• Consumer / personal users (non-commercial use); and
• Professional users (commercial use), including use through the Joaia Guide Studio
Your use of the Services is also subject to our
Privacy Policy, which explains how we collect and process personal data. The Privacy Policy is not part of these Terms, but it is important and forms part of your overall relationship with us.

In these Terms, “Holoai”, “we”, “us”, and “our” refer to Holoai Ltd.
2. Definitions
- “App” means the Joaia mobile application.
- “Joaia Web Solution” means any Joaia web-based experience (including embedded or hosted web implementations) made available by Holoai.
- “Guide Studio” means the Joaia Guide Studio environment and related professional tools.
- “You” or “User” means the person or entity using the Services.
- “Consumer” means a natural person using the Services primarily for personal, non-commercial purposes.
- "Professional User” means a person or entity using the Services for professional or commercial purposes, including via the Guide Studio.
- “Input” means content you submit to the Services (e.g., prompts, text, preferences, itinerary notes, data you upload or connect).
- “Output” means content generated by the Services (including AI-generated text, suggestions, summaries, itineraries, or other responses).
- “Content” means Input and Output collectively, plus any other content provided, uploaded, stored, or made available through the Services.
- “Core Place Data” means Holoai-provided place / point-of-interest data (e.g., official names, coordinates, categories, Holoai-provided images, and basic metadata) that is part of the Services.
- “Professional Content” means any content a Professional User uploads, connects, curates, or makes available through the Guide Studio (e.g., descriptions, interpretation, contextual information, custom data fields, trails/tours/events from third parties, etc.)
3. Eligibility and minimum age
3.1 Minimum age
You must be at least 13 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement.
If you are under the age of majority in your jurisdiction, you may use the Services only if your parent or legal guardian consents where required by law.
3.2 Authority to bind an organisation
If you use the Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms. In that case, “you” includes the organisation.
4. Accounts, registration, and security
4.1 Registration
Some features may be available without an account. Other features require registration, and after a limited number of interactions you may be required to create an account to continue.
4.2 Accurate information
You agree to provide accurate and complete information, and to keep your account information up to date.
4.3 Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you suspect unauthorised access, you must notify us promptly at support@joaia.app.
We are not responsible for losses caused by unauthorised use of your account where you failed to keep credentials secure.
5. Using the Services
5.1 Licence to use the Services
Subject to these Terms, Holoai grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal use (Consumer) or internal business purposes (Professional User), as applicable.
5.2 Acceptable use
You may use the Services only in compliance with these Terms and all applicable laws and regulations.
5.3 Prohibited conduct
You must not, and must not attempt to:
- Break the law or harm others: use the Services to create, upload, transmit, or store content that is unlawful, harmful, abusive, defamatory, discriminatory, or that infringes others’ rights.
- Interfere with the Services: disrupt, disable, overload, or impair the Services or related systems, including by introducing malware or bypassing technical safeguards.
- Scrape or extract at scale: use automated methods to extract data from the Services at scale, including crawling, scraping, or bulk harvesting, except as expressly permitted in writing.
- Reverse engineer: reverse engineer, decompile, disassemble, or attempt to discover source code or underlying models, except to the extent such restriction is prohibited by law.
- Circumvent usage limits: bypass rate limits, quotas, access controls, or billing mechanisms.
- Use Output to compete: use the Services or Output to develop, train, or improve competing products or services (including competing AI travel/location solutions) without our prior written consent.
- Misrepresent: impersonate another person, mislead others about the source of Output, or present Output as verified facts without appropriate review.
- Resell: sell, rent, lease, sublicense, or otherwise commercially exploit the Services unless explicitly permitted under a Professional User licence.
We may issue warnings, restrict features, suspend, or terminate access if we reasonably believe you have violated these Terms.
6. Content, AI Output, and your responsibilities
6.1 Your Content and responsibility
You are responsible for your Input and for any decisions you make based on Output. You agree that you will not submit Content that violates law or third-party rights (including intellectual property, privacy, or publicity rights).
6.2 AI systems are probabilistic
The Services may use artificial intelligence and automated systems. You acknowledge that:
- Output may be incomplete, inaccurate, outdated, misleading, or fictional;
- Output may not reflect real-world availability, opening times, pricing, safety conditions, or legal requirements;
- you must apply judgement and verify important information independently (e.g., travel safety, medical, legal, financial, or regulatory matters).
The Services are provided “as is” and “as available”. We do not guarantee uninterrupted availability, accuracy, or fitness for a particular purpose.
6.3 No professional advice
Output is not professional advice (including legal, medical, financial, safety, or insurance advice). If you need such advice, consult a qualified professional.
6.4 Similar outputs
You understand that because AI systems may generate similar responses for different users, Output may not be unique and other users may receive similar or identical Output.
6.5 Sharing Content
If you share itineraries, trips, or other content with others, you are responsible for what you share and with whom. Shared content may include conversations, saved places, media, and itinerary details.
7. Intellectual property
7.1 Holoai IP
The Services (including software, design, interfaces, logos, trademarks, and Core Place Data) are owned by Holoai or its licensors and are protected by intellectual property laws. Except for the limited licence granted in these Terms, no rights are granted to you.
7.2 Your Input
As between you and Holoai, you retain ownership of your Input to the extent you have such rights. You grant Holoai a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, and display your Input only as necessary to provide, maintain, and improve the Services, and to enforce these Terms and comply with law.
7.3 Output
To the extent permitted by applicable law, as between you and Holoai, you may use Output for any lawful purpose, subject to these Terms (including restrictions on misuse and competing products). If Holoai has any intellectual property rights in Output, Holoai grants you a worldwide, non-exclusive, royalty-free licence to use it.
7.4 Feedback
If you provide feedback or suggestions, you grant us the right to use it without restriction or compensation.
8. Software, third-party services, and integrations
8.1 Third-party services
The Services may integrate with third-party services (e.g., mapping, analytics, infrastructure). Those services may be governed by third-party terms and privacy policies. Holoai does not control and is not responsible for third-party services.
8.2 Payment providers
Payments (particularly for Professional Users) may be processed by third-party payment providers (e.g., Stripe). We do not store full payment card details. Your payment processing is subject to the provider’s terms.
8.3 Open-source components
The Services may include open-source software components. Where required, those components are licensed under their respective open-source licences, which may grant you additional rights.
9. Joaia Guide Studio – professional use terms
This Section applies only to Professional Users and use of the Guide Studio and related professional features.
9.1 Licence requirement
Use of the Guide Studio requires a valid paid licence (or other written agreement with Holoai). You may only access professional features within the limits of your plan and any written order form, statement of work, or subscription confirmation.
9.2 Allocation of content responsibilities
A clear distinction applies:
- Holoai responsibility (Core Place Data):
Holoai is responsible for Core Place Data provided through Holoai’s own databases (e.g., official names, locations, categories, Holoai-provided images, and basic metadata).
- Professional User responsibility (Professional Content):
You are fully responsible for Professional Content you upload, connect, or make available through the Guide Studio, including descriptive, contextual, interpretative, editorial, or promotional information of any kind.
9.3 No alteration of Core Place Data
Professional Users may not alter, override, or misrepresent Holoai’s Core Place Data, except where expressly enabled by the Services or agreed in writing.
9.4 Third-party licensed data
Certain data types (such as trails, tours, or events) may originate from third-party providers and may be accessed only through integrations provided or configured by you.
Holoai does not verify whether you are authorised to use third-party data and does not independently use such data.
You are solely responsible for:
- holding appropriate licences and permissions;
- complying with third-party terms;
- ensuring lawful use and display of that data.
9.5 Images and media
Holoai-provided images and media included as Core Place Data are selected and provided by Holoai in accordance with applicable copyright and licensing.
Unless expressly enabled, Professional Users are not intended to upload images. If image uploads or media connections are enabled now or in the future, you may upload/connect only media you have the legal right to use, and you grant Holoai the necessary licence to host and display it as part of the Services.
9.6 Moderation and legal compliance
Holoai may restrict, remove, or disable access to Content if required by law or if we reasonably believe Content is illegal, infringing, abusive, or otherwise unlawful. This does not constitute editorial review or approval of Professional Content.
9.7 Evolution of features
The Services and the allocation of responsibilities may evolve as features are added or changed. Updated features may introduce new data types, integrations, or usage rules.
10. Commercial terms for Professional Users
10.1 Fees, plans, and taxes
Professional use is subject to a paid licence. Pricing, included usage, limits, and add-ons are described on our pricing page or in your order documentation. Fees may be exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, duties, or similar charges.
10.2 Subscription renewal and cancellation
Subscriptions renew automatically for successive terms unless cancelled before the end of the current term, in accordance with the cancellation process described in your account settings or order documentation.
10.3 Payment terms
Invoices are payable within 30 days unless otherwise agreed in writing. Payments may be made by invoice or credit card, depending on your plan and availability.
10.4 Late payment and suspension
If payment is overdue, we may suspend or restrict access to the Services (including taking the Joaia Web Solution offline for your instance) after reasonable notice. Content is not deleted solely due to late payment.
10.5 Usage limits and overages
Usage limits apply. Overages may be billed monthly according to your plan. If plan limits change, we will inform existing subscribers; you may cancel if you do not agree, effective at the end of your current term unless mandatory law requires otherwise.
10.6 Professional services and custom development
Custom development, integrations, or extensions may be offered on a project basis at additional cost and may be governed by a separate statement of work or agreement.
10.7 Refunds
Fees are non-refundable except where required by applicable law or expressly stated in a written agreement with Holoai.
11. Availability, maintenance, and service interruptions
We aim to provide reliable Services, but uninterrupted availability cannot be guaranteed. The Services may become temporarily unavailable due to scheduled maintenance, force majeure events, third-party outages, or other circumstances beyond our reasonable control.
For Professional Users, remedies for significant service unavailability are limited to service credits calculated on a pro-rata basis and applied to future invoices. Cash refunds are excluded, except where required by law.
12. Copyright and intellectual property complaints
If you believe Content available through the Services infringes your copyright or other intellectual property rights, contact support@joaia.app and provide sufficient information to identify the content and explain your claim.
We will review notices and take appropriate action consistent with applicable law, which may include removing or disabling access to allegedly infringing content.
13. Indemnification (Professional Users)
To the extent permitted by law, Professional Users agree to indemnify, defend, and hold harmless Holoai and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Professional Content uploaded or connected by the Professional User;
- violation of third-party rights or licence terms;
- misuse of the Services;
- breach of these Terms or applicable law by the Professional User.
14. Suspension and termination
14.1 Termination by you
You may stop using the Services at any time. You may delete your account where available or contact support@joaia.app for assistance.
14.2 Suspension or termination by Holoai
We may suspend or terminate access to the Services if we reasonably believe there is:
- a breach of these Terms;
- non-payment (for Professional Users);
- misuse or security risk;
- a legal requirement; or
- a risk of harm to Holoai, users, or third parties.
Where reasonable, we will provide notice.
14.3 Effect of termination
Upon termination:
- your right to use the Services ends immediately;
- we may disable access to Content associated with your account; and
- for Professional Users, associated content, guides, and analytics data will be deleted in accordance with applicable law and our data retention practices (as described in the Privacy Policy or your commercial agreement, if any).
15. Disclaimers
To the maximum extent permitted by law:
- the Services are provided “as is” and “as available”;
- we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement; and
- we do not warrant that the Services will be uninterrupted, secure, error-free, or that Output will be accurate or reliable.
Nothing in these Terms limits mandatory consumer rights that cannot be excluded under applicable law.
16. Limitation of liability
To the extent permitted by law, Holoai is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
For Professional Users, Holoai’s total aggregate liability arising out of or related to the Services is limited to the fees paid by the Professional User to Holoai in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability where such limitation would be unlawful (for example, for intent or gross negligence where applicable law prohibits limitation).
17. Governing law and jurisdiction
17.1 Consumers
If you are a Consumer, these Terms are governed by the laws of the country where you reside, and you may also benefit from mandatory consumer protection laws in your jurisdiction.
17.2 Professional Users
If you are a Professional User, these Terms are governed by Swiss law, and the courts at the location of Holoai’s registered headquarters will have exclusive jurisdiction, unless mandatory law provides otherwise.
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated in advance (for example, via the Services or by email). Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the updated Terms.
19. Miscellaneous
- Entire agreement: These Terms (and any referenced policies or written order documents for Professional Users) constitute the entire agreement regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver: Failure to enforce any provision is not a waiver.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices: Notices may be provided via email, in-product messages, or posting within the Services.
